Note that our incorporation and annual fees are all “all-included fees”, and cover all the required services, duties, disbursements, and procedures to incorporate a HK limited company, and keep it in good standing with the HK Companies Registry.
Hong Kong Limited Company Formation and First-Year Fees – USD 950.00
- Preparing the Articles of Association and form NNC1
- Filing Articles of Association and form NNC1 with the HK Companies Registry
- Preparing the first board resolutions resolving the Appointment of Directors, Corporate Secretary, Registered Office, and other Corporate Matters
- HK Companies Registry incorporation fees and duties
- Providing the Certificate of Incorporation, Business Registration Certificate, and filed NNC1 form.
- Providing a Registered Office, including business address, for one year
- Providing Designated Legal representative Services in HK (legal contact point)
- Preparing the Directors’ Consent Letter
- Preparing the Register of Members and Register of Directors, and Confirmation of Persons of Significant Control
- Preparing Share Certificate(s), if required
- Delivery of certified Corporate Documents, inclusive of Courier Fees
Hong Kong Local Corporate Secretary Services – USD 900.00 p.a.
Hong Kong corporate law requires all Hong Kong limited companies to appoint a secretary who is a Hong Kong resident. Our Corporate Secretary Services include:
- Appointing a Hong Kong Resident Corporate Secretary, as required by law.
- Providing Secretarial Services for one year
- Preparing the Annual General Meeting of Members and Directors
- Maintaining Minute Book and Statutory Records
- Preparing and filing the Annual Return of the company
Time to form the company
We prepare the articles of association and complete the incorporation forms (NNC1). On the same day, we file the company with HKCR and prepare the post-incorporation documents (board resolutions, registers, and statements of significant control). The Certificate of Incorporation and the Business Registration Certificate is issued by the HKCR on the same day.
Note that if the HK company shares are subscribed by a Corporate Shareholder (as opposed to an individual), the incorporation procedure must be carried on manually (as opposed to electronically), and the authorized signatory of the Corporate Shareholder will need to post the physical Incorporation Documents to our HK office address. The turnaround time for incorporating companies with corporate shareholders is generally 2 weeks.
Bank Account Opening Services (Optional)
Note that Hong Kong banks apply strict due diligence and document-intensive procedures when onboarding foreign-owned and operated Hong Kong companies. Managers and Owners of recently-incorporated start-ups with no commercial or operational nexus in Hong Kong or Mainland China and no comprehensive business background (affiliated companies, directors’ previous business experience, etc.) might consider opening an account in another financial center (e.g. Singapore, Malaysia, Mauritius, etc.) in order to start operating and build business and financial track record as soon as possible, and apply for a Hong Kong bank account at a later date.
